Datadog [DDOG] — Catalyst Calendar

As of 2026-07-29. Framework v1.5.1. Tier-2 memo, cluster member (data & dev infrastructure). Cluster analysis: reports/clusters/Data_Dev_Infrastructure_Cluster_2026-07-29.md

This memo issues no position verdict. The book decides.

Never fabricate a date. Every entry below is either (a) an exact date stated in a filing, or (b) an expected window inferred from the company's own filing history, with that history shown so the inference can be checked. Nothing here is invented, and where only a window is available it is labelled a window.

1. Dated events — exact, from filings

Date Event Source Why it matters
2024-12-12 $1.0bn of 0.00% Convertible Senior Notes due 2029 issued 10-Q, debt note The claim the screen would also have missed — Datadog tags it ConvertibleLongTermNotesPayable, not ConvertibleDebtNoncurrent.
2025-06 2025 Convertible Notes retired — $634.1m of cash plus 1,354,569 Class A shares delivered to converting holders 10-Q, debt note Balance went to zero at 2025-06-30.
Q2 2025 Acquisition completed — $178.4m aggregate ($109.3m cash net, $16.1m holdback, 770,044 restricted Class A shares); $163.1m to goodwill 10-K Immaterial at ~1pp of growth or less, but no revenue contribution disclosed.
2026-02-02 Snowflake completes the Observe acquisition — a competitive entry into observability by a $98bn platform with 13,912 customers and 126% NRR Snowflake's 10-Q Not in Datadog's filings and not in either screen record. The most important dated event for this name is in a competitor's filing.

2. Expected windows — inferred from filing history, labelled as inference

Q2 2026 (quarter ending 2026-06-30) — expected early August 2026.

Basis for the inference: this company's own earnings-release 8-K filing dates (item 2.02) in prior years were 2025-08-07, 2024-08-08, 2023-08-08. This is a pattern-based window, not a company-confirmed date. No date has been fabricated; if a confirmed date is required before acting, it must be taken from the company's investor-relations announcement.

Why this print is the one that matters for this name:

Three lines, in order:

  1. RPO, sequentially. It grew +0.7% ($3,461.2m → $3,484.4m) while revenue grew +5.6%. If that repeats, the revenue acceleration is being delivered out of on-demand overage rather than new commitments — the least durable form of consumption revenue.
  2. The net retention band. It moved from "high-110%'s" to "low-120%'s". A move down a band would be a material signal; a move within a band will be invisible, which is the structural problem with this name.
  3. Whether a buyback is authorised. Datadog holds $4.76bn and has never repurchased a share against SBC of 21.3% of revenue. An authorisation would change the dilution arithmetic materially.

3. Catalyst Criteria — the score

Type: MEASURED. Time works for a long, so a dated event is not required to own this name — unlike a short.

Dated events that would confirm or refute the implied path yes — see §1 and §2

Result scored

What the calendar deliberately does not contain: no product-launch dates, no conference dates, and no analyst-day dates have been included, because none was found stated in a filing. A fabricated catalyst date is worse than an absent calendar, and the absence is recorded rather than filled.

4. Downside Criteria — logged for the ledger

Type: MEASURED. Logged and scored on every name; it does not reject the name.

Named cause: multiple compression from the 100th percentile, triggered by a single decelerating quarter the NRR disclosure cannot pre-warn.

Scenario Implied price vs spot Probability
Growth to 20%, multiple to post-2024 median of 16.6x $206.00 -22% 35%
Growth to 15%, multiple to post-2024 p25 of 14.8x $176.00 -33% 20%
Growth to 15%, multiple to post-2023 min of 12.0x $142.00 -46% 10%

Going-concern: not argued. See §9 of the research document for the balance-sheet basis.
