NAMED CAUSE, not a valuation bear case. Repligen carries $1,104.2m of goodwill and $356.9m of intangibles — $1,461.1m, 69.2% of $2,112.0m of book equity and 76.8% of invested capital — accumulated from a decade of acquisitions that collectively earn a 2.66% return on invested capital against a 9.17% cost of capital. It is about to add ~$1.5bn more by acquiring BioLife Solutions at ~13.0x EV/Sales using paper that trades at 10.30x, plus ~$540m of cash that swings the balance sheet from $210m net cash to roughly $300m net debt. The permanent-loss scenario is that BioLife's cell-and-gene-therapy end market does not scale to the acquisition case while a second bioprocessing destocking wave arrives on tightening biotech funding; RGEN writes down goodwill, the recovery narrative breaks, revenue reverts toward $650-700m, and the multiple re-rates to the 5-year minimum of 7.29x EV/Sales.
